All intellectual property rights in any Joint Invention that may arise out of the RESEARCH, whether patentable or not, shall be jointly owned by Univ.*** and RECIPIENT, depending upon any applicable laws and regulations relating to inventorship.  Should a Joint Invention arise, UNMC and RECIPIENT agree to negotiate an appropriate agreement for the protection and commercialization of said joint invention.
